Excluded Hotel definition

Excluded Hotel means each of a hotel listed at https://www.expedia.com.sg/g/rf/coupon- exclude-hotels.
Excluded Hotel has the meaning set forth in Section 9.1.2(A) hereof.
Excluded Hotel means each individual hotel owned by Sun or any Sun Subsidiary that is not an Acquired Hotel, including each individual hotel set forth on Schedule 10.1(aa), together with the Related Property with respect thereto; collectively, the “Excluded Hotels”.

Examples of Excluded Hotel in a sentence

  • If the disposal or transfer of any of the TAHM Excluded Hotels or the TAHM PRC Excluded Hotel is not completed by the TAHM Closing, the relevant hotel(s) shall be transferred to the Seller or its Affiliate at a consideration equal to the aggregate book value of such hotel(s).

  • Any cash generated as a result of the operations of the TAHM Excluded Hotels and the TAHM PRC Excluded Hotel (prior to their disposal or transfer) or the sale of the TAHM Excluded Hotels and the TAHM PRC Excluded Hotel (whether the sale be effected prior to or after the TAHM Closing) shall be the property of the Seller and shall be dealt with as provided in Schedule 11 and Section 2.07(c).

  • Under no circumstances shall the Right of First Refusal apply to (i) a lease of retail or “shop” space within the Excluded Hotel, (ii) a condemnation of all or a portion of the Excluded Hotel, (iii) the granting of easements and rights-of-way, (iv) any mortgage of the Excluded Hotel, (v) any foreclosure sale, deed-in-lieu of foreclosure or similar disposition by any mortgagee of the Excluded Hotel, or (vi) a transfer of the Excluded Hotel to an Affiliate of the owner of the Excluded Hotel.

  • In exchange for Owner’s agreement to exclude the hotel listed in Schedule 1 attached hereto (the “Excluded Hotel”) from the non-compete set forth above, Manager hereby grants Owner and any Affiliate of Owner a right of first refusal to purchase the Excluded Hotel (currently under development by Manager’s Affiliate), at the same price, and upon the same terms, as any offer received by Manager’s Affiliate that Manager’s Affiliate is willing to accept (the “Right of First Refusal”).

  • In addition, Manager’s right to manage the Excluded Hotel is subject to the agreement by Manager to not permit unfair favoritism in the operation and management of the Excluded Hotel that would disadvantage the operation or business of the Hotel (such as, by way of example only, directing potential Hotel guests to the Excluded Hotel instead of to the Hotel).

  • If Owner or its Affiliate timely accepts the Offer, then Owner or its Affiliate will purchase the Excluded Hotel on the same terms and conditions as set forth in the Offer, and Owner’s (or it Affiliate’s) failure to do so shall cause the Right of First Refusal to automatically terminate.

  • In the event that Purchaser elects to terminate this Agreement in its entirety or with respect to any Excluded Hotel pursuant to Section 9.1.2(C) or Section 9.1.2(A), respectively, for failure of a Purchaser Closing Condition, and such Purchaser Closing Condition is reasonably susceptible to cure, Seller shall have the right and option to defer such Closing once for a period of five (5) Business Days in order to cure such failure of a Purchaser Closing Condition.

  • Excluded Real Property (a) any Real Property that is subject to a Lien expressly permitted by Section 7.3(j) (solely to the extent that the Indebtedness secured by such Lien would prohibit a Lien on such Real Property to secure the Obligations) or Section 7.3(g) (solely to the extent securing Indebtedness under Sections 7.2(c) or 7.2(t)), (b) any Real Property with respect to which, in the reasonable judgment of the Borrower and the Administrative Agent, the cost of providing a mortgage on such Real Property in favor of the Secured Parties under the Security Documents shall be excessive in view of the benefits to be obtained by the Lenders therefrom and (c) any Real Property to the extent providing a mortgage on such Real Property would (i) result in material adverse tax consequences to Holdings or the Borrower or any of its Restricted Subsidiaries as reasonably determined by the Borrower (provided, that any such designation of Real Property as Excluded Real Property shall be subject to the prior written consent of the Administrative Agent (such consent not to be unreasonably withheld or delayed)), (ii) violate any applicable Requirement of Law, (iii) be prohibited by any applicable Contractual Obligations (other than customary non-assignment provisions which are ineffective under the Uniform Commercial Code) to the extent such prohibition was not created in contemplation of a mortgage on such Real Property or (iv) give any other party (other than a Loan Party or a wholly-owned Subsidiary) to any contract, agreement, instrument or indenture governing such Real Property the right to terminate its obligations thereunder (other than customary non-assignment provisions which are ineffective under the Uniform Commercial Code or other applicable law) to the extent such right was not created in contemplation of a mortgage on such Real Property; provided that the Borrower may designate in a written notice to the Administrative Agent any Real Property not to constitute “Excluded Real Property”, whereupon the Borrower shall be obligated to comply with the applicable requirements of Section 6.8 as if it were newly acquired.

  • Excluded Property shall have the meaning set forth in the Security Agreement.

  • Excluded Equipment means (i) defibrillators, enhanced emergency medical kits and other medical equipment, (ii) airphones and other components or systems installed on or affixed to the Airframe that are used to provide individual telecommunications or electronic entertainment to passengers aboard the Aircraft, (iii) galley carts, beverage carts, waste containers, liquor kits, food tray carriers, ice containers, oven inserts, galley inserts, and other branded passenger convenience or service items, (iv) any items, equipment or systems leased by Company or any Permitted Lessee (other than items, equipment, or systems that are leased from Company pursuant to the applicable Lease) or owned by Company or any Permitted Lessee subject to a conditional sales agreement or a security interest (other than the security interest granted under the Indenture), and (v) cargo containers.

  • Excluded Personal Property has the meaning set forth in Section 2.2(c).
