Excluded Hardware definition

Excluded Hardware means hinges, padlocks and accessories, pivots, door stops, plates, kick plates, armored plates, pull and push plates, pulls, backplates, exits, closers, security hardware (such as utility locks), barrel bolts, bolts and hasps, exterior door trim, handles, interior hardware, cabinet latches, knob handles, flush bolts, coordinators, surface bolts, door holders, door bumpers and door silencers as of the date hereof sold by Seller and its Subsidiaries (other than in connection with the Business and excluding, for the avoidance of doubt, Residential Locksets) and natural evolutions of any of the foregoing products within their product categories.
Excluded Hardware means any peripheral hardware or tangible items accompanying the Hardware or Wiliot IoT Pixels.
Excluded Hardware has the meaning set forth in Section 2.02(d) hereof.

Examples of Excluded Hardware in a sentence

  • The Employee is solely responsible for any tax consequences of the Company's transfer of its ownership interests in the Excluded Hardware.

  • Each of the Excluded Hardware is being provided to the Employee in "as is" conditions and without warranty or guarantee of any kind.

  • Notwithstanding anything to the contrary, in respect of Excluded Hardware (defined below), Wiliot shall have no obligation or liability of any kind whatsoever, except to the extent Wiliot receives back-to-back obligations, and can recover back-to-back liability, from the corresponding third party vendor or supplier (pursuant to the supply contract between Wiliot or its Affiliate and such vendor or supplier).

  • In addition, prior to the Termination Date or at the Company's earlier request, the Employee must provide the Excluded Hardware to the Company for the purpose of deletion of confidential and proprietary information, and licensed materials, from the Excluded Hardware.
