EXCHANGING GROUP definition

EXCHANGING GROUP means Holder and all other holders of Class A Preferred Units that have agreed to exchange such units for shares of Common Stock simultaneously with the IPO pursuant to an agreement substantially similar to this Agreement.

Related to EXCHANGING GROUP

  • Exchanging Member means a Member that Exchanges some or all of its Units.

  • Exchanging Partner has the meaning provided in Section 8.05(a) hereof.

  • Exchanging Dealer means any Holder (which may include any Initial Purchaser) that is a Broker-Dealer and elects to exchange for New Securities any Securities that it acquired for its own account as a result of market-making activities or other trading activities (but not directly from the Company or any Affiliate of the Company).

  • Selling Group has the meaning ascribed thereto in Section 2.2;

  • Designated Holder means the Holder of Note A-1.
