Exchanging entity definition
Exchanging entity means the domestic or foreign nonprofit corporation or eligible entity in which all of one or more classes of memberships or classes or series of eligible interests are to be acquired in a membership exchange.
Exchanging entity shall have the meaning set forth in Section 12.21(c).
Exchanging entity means one or more of the Fund, ECT or EIPLP, being the entity that will deliver the Issuer Securities to the holder of the Subject Securities, as identified in the Exchange Notice provided by the holder of Exchangeable Securities.
