EChapman shall maintain sufficient authorized shares of stock to issue EChapman Shares that will become issuable upon the exercise of the Exchanged Options.
Except as specifically provided above, following the Company Merger Effective Time, the Exchanged Options shall continue to be governed by the same terms and conditions (including vesting and exercisability terms) as were applicable to the corresponding former Company Option(s) immediately prior to the Company Merger Effective Time.
