Exchanged Options definition

Exchanged Options means options to purchase Domtar Common Shares having an exercise price equal to the volume weighted average (rounded to the nearest 1/10,000) of the trading prices of the Domtar Common Shares on the NYSE as reported by Bloomberg Financial Markets (or such other source as the parties shall agree in writing) on the last trading day immediately prior to the Measurement Date.
Exchanged Options means the Airspan Options that are outstanding immediately prior to the Effective Time, whether vested or unvested, that are converted at the Closing into options to purchase shares of New Beginnings Common Stock.
Exchanged Options shall have the meaning stated in Section 2.4(b).

Examples of Exchanged Options in a sentence

  • EChapman shall maintain sufficient authorized shares of stock to issue EChapman Shares that will become issuable upon the exercise of the Exchanged Options.

  • Except as specifically provided above, following the Company Merger Effective Time, the Exchanged Options shall continue to be governed by the same terms and conditions (including vesting and exercisability terms) as were applicable to the corresponding former Company Option(s) immediately prior to the Company Merger Effective Time.

More Definitions of Exchanged Options

Exchanged Options means the options to purchase shares of MCAP Common Stock issued at the Effective Time, pursuant to and subject to the terms set forth in the BCA and by virtue of the Mergers, upon conversion of AdTheorent Options that are outstanding immediately prior to the Effective Time.
Exchanged Options means the options to acquire common shares in the capital of the Corporation, as set forth opposite each Optionholder's name in Schedule E, to be exchanged by the Optionholders for Class 4 Preferred Share Options pursuant to this Agreement;
Exchanged Options means, collectively, the options to acquire Class D Preference shares and common shares in the capital of the Corporation, as set forth opposite each Management Vendor's name in Schedule 3.1.4, to be exchanged by the Management Vendors for Class 1 Preferred Share Options (as to a portion of their options to acquire Class D Preference shares) and Class 4 Preferred Share Options (as to their options to acquire common shares), respectively, pursuant to this Agreement;
Exchanged Options refers to the options exchanged pursuant to this Offer. "Executive Officers" refers to those officers of Socket Mobile listed on Schedule A to this Offer to Exchange, who are officers for purposes of Section 16 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"). "Expiration Date" refers to the date that this Offer expires. We expect that the Expiration Date will be July 1, 2010, at 5:00 p.m., Pacific Time. We may extend the Expiration Date at our discretion. If we extend the Offer, the term "Expiration Date" will refer to the time and date at which the extended Offer expires. "New Option Grant Date" refers to the date when New Options will be granted. The New Option Grant Date will be the same U.S. business day as the Expiration Date. We expect that the New Option Grant Date will be July 1, 2010. If the Expiration Date is extended, then the New Option Grant Date will be similarly extended. "New Options" refers to the options issued pursuant to this Offer that replace the Exchanged Options. The New Options will be granted on the New Option Grant Date under and subject to the terms of the 2004 Equity Incentive Plan and a new option agreement between you and Socket Mobile. "Offering Period" refers to the period from the commencement of this Offer to the Expiration Date. This period commenced on June 3, 2010 and will end at 5:00 p.m., Pacific Time, on July 1, 2010 unless extended. "Offer to Exchange" refers to this Offer to Exchange Certain Outstanding Stock Options for New Stock Options.
Exchanged Options means all Options outstanding as of the Closing and set forth opposite each person's name on Exhibit B hereto under the heading "Exchanged Options", which shall be cancelled as part of the Option Transaction.
Exchanged Options has the meaning set forth in Section 2.2(a).
Exchanged Options means eligible options that you exchange for RSUs pursuant to this offer.
