Excess Liability Adjustment has the meaning given in Section 2.5.

Examples of Excess Liability Adjustment in a sentence

  • The amount by which actual total Liabilities (other than excluded liabilities) as of the Closing Date are greater than the sum of $1,000,000 plus the Excess Liability Adjustment will constitute a claim by MoSys against the Escrow pursuant to Article 6 of this Agreement.
