Excess Equity Gain definition

Excess Equity Gain means an amount equal to the greater of zero and the difference between:
Excess Equity Gain means an amount equal to the greater of zero and the difference between: (a) the amount paid in consideration of the percentage of Equity Capital (as at Financial Close) sold in a particular sale of Equity Capital; and (b) the Threshold Equity Sale Amount.
