Subject to the terms of the Stockholder’s Agreement by and among Excelerate Energy, Inc., Excelerate Energy Limited Partnership and Excelerate Energy Holdings, LLC (as the same may be amended, supplemented, restated and/or otherwise modified from time to time, the “Stockholder’s Agreement”), the Board of Directors (the “Board”) of Excelerate Energy, Inc.
The relative fault shall be determined by reference to whether the untrue or alleged untrue statement of a material fact or omission or alleged omission to state a material fact relates to information supplied by the Excelerate Parties or the Underwriters, the intent of the parties and their relative knowledge, access to information and opportunity to correct or prevent such statement or omission.
Interest on this Excelerate Loan during construction of the Vessel will be capitalized on delivery.

(“Holdings”), and Executive shall devote Executive’s best efforts and Executive’s full business time and attention (except for permitted vacation periods and reasonable periods of illness or other incapacity) to the business and affairs of Holdings and its Subsidiaries.
All notices under this Agreement shall be delivered as set forth below, or pursuant to such other instructions as may be designated in writing by the party to receive such notice: if to the Corporation, to: c/o Excelerate Energy, Inc.
Each Excelerate Party hereby (x) waives any claims that such Excelerate Party may have against the Underwriters with respect to any breach of fiduciary duty in connection with this offering and (y) agrees that none of the activities of the Underwriters in connection with the transactions contemplated herein constitutes a recommendation, investment advice or solicitation of any action by the Underwriters with respect to any entity or natural person.
If the foregoing correctly sets forth the agreement between the Company, Excelerate LP and the Underwriters, please indicate your acceptance in the space provided for that purpose below.
Excelerate and SBM have both announced their intention to build FLNG vessels but they have not started the process and we have not seen much evidence of design.
If this Agreement is terminated pursuant to Section 9 by (a) reason of the default of one or more Underwriters or (b) as a result of the occurrence of any of the events described in Section 7(j) (excluding clause (i)(B) thereof), the Excelerate Parties shall not be obligated to reimburse (i) any defaulting Underwriter, in the case of clause (a) of this sentence, or (ii) any Underwriter, in the case of clause (b) of this sentence, for any expenses except as provided in Sections 6 and 9 hereof.
Excelerate and yourself irrevocably consent that the courts of UAE shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
