Exact Copy definition

Exact Copy. , of an exemption, means a copy that is identical in all material respects with the exemption.
Exact Copy means any product manufactured using 50% or more of the same proprietary tooling which is used to manufacture a Product. As used in this definition of "Exact Copy", "manufactures" and "manufacturing" shall include manufacturing, assembling, arranging for another Person to manufacture or assemble on an OEM or private label basis or selling under its own trade name, trademark or other brand. As used in this definition, the term "proprietary tooling" means tooling which is owned by Seller or Seller's vendor and was designed by or under the direction of VLPS or Seller for the specific purpose of manufacturing Products.
