EX-MEMBERS definition

EX-MEMBERS means previous MEMBERS who left the service of the EMPLOYER concerned during the immediately preceding 12 months (or such longer period as may be taken into account in the liquidator's scheme of arrangement referred to in 11.2.2), either voluntarily or due to a reduction in or reorganisation of staff, and shall for the purposes of this sub-Section, be regarded as if they were MEMBERS on the date of discontinuance of the FUND. Benefits already paid out to such MEMBERS shall be taken into account in determining the proportion of benefit to be allocated to such MEMBERS.

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Class B Members means the Members holding Class B Units.

  • Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.

  • Class A Members means those Members who have purchased Class A Interests.

  • New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)
