Each Evolution Group Member has complied with all material obligations imposed on that Evolution Group Member by any Tax Law or as requested by any Governmental Agency in the period up to the Evolution Accounts Date.

The Seller does not maintain, monitor or otherwise handle custodial accounts in connection with payroll processing services for the Evolution Accounts (the “Custodial Accounts”).
The Seller is a national banking association duly incorporated, validly existing and in good standing under the Laws of the United States, and has full corporate power and authority to own, operate or lease the properties and assets now owned, operated or leased by it with respect to the Evolution Accounts and to carry on the business related thereto as it has been and is currently conducted.
All assets that are not related to the Evolution Accounts or reasonably required for Buyer to service the Evolution Accounts; and such other assets as listed on Schedule 2.1(d).
