Event Redemption Date definition

Event Redemption Date means the date fixed for redemption of the Notes pursuant to Section 5 [(6)] (b).
Event Redemption Date means (A) in respect of a redemption following satisfaction of Conditions to Settlement (including in circumstances where both of the Conditions to Settlement have been satisfied and an Index Event has occurred), the later of (i) the Scheduled Maturity Date and (ii) the third Business Day immediately following the date on which the Final Price is determined; and (B) in respect of a redemption following the occurrence of an Index Event only, the Scheduled Maturity Date or, if Product Condition 5 applies, the Postponed Maturity Date.
Event Redemption Date shall be the date falling three (3) months from the date of the Relevant Event Redemption Notice.

  • Operators shall may not move equipment or enter or leave the courtroom while the court is in session, or otherwise cause a distraction.

  • The Company shall cause notice of any Tax Event Redemption to be mailed, at least 30 calendar days but not more than 60 calendar days before such Tax Event Redemption Date, to each Holder of Notes to be redeemed at its registered address.

  • Notice of any Special Event Redemption will be mailed by the Company (with a copy to the Trustee) at least 30 days but not more than 60 days before the Special Event Redemption Date to each registered Holder of the Senior Notes at its registered address.

  • Notice of any redemption will be mailed at least 30 days but not more than 60 days before the Tax Event Redemption Date to each registered Holder of the Debentures to be prepaid at its registered address.

  • The Redemption Price shall be paid to each Holder of the Debenture by the Company, no later than 12:00 noon, New York City time, on the Tax Event Redemption Date, by check or wire transfer in immediately available funds, at such place and to such account as may be designated by each such Holder.

  • Where any Credit Event Redemption Amount is or would be zero then, other than for the payment of accrued interest or any other due but unpaid amounts, the Notes will be cancelled as of the Credit Event Redemption Date with no payment being due other than any final amount of accrued interest or any other due but unpaid amounts.

  • The Principal Paying Agent will in turn apply such amounts to pay the Dissolution Amount to the Certificateholders on the Scheduled Dissolution Date, Dissolution Event Redemption Date, Early Tax Dissolution Date or Early Dissolution Date (Trustee Call), as the case may be.

  • Unless the Company defaults in payment of the Redemption Price, on and after the Tax Event Redemption Date interest shall cease to accrue on the Notes.


More Definitions of Event Redemption Date

Event Redemption Date with respect to any Trigger Event, means such date selected by the Company that is not less than 10 days or more than 20 days after, the Final Surrender Date with respect to such Trigger Event.

Related to Event Redemption Date

  • Tax Event Redemption Date means the date upon which a Tax Event Redemption is to occur.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Tax Event Redemption means, if a Tax Event shall occur and be continuing, the redemption of the Notes, at the option of the Company, in whole but not in part, on not less than 30 days nor more than 60 days' written notice.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Redemption Event has the meaning set forth in Section 3.4.

  • Early Redemption Event means that R (k) is equal to or greater than the Early Redemption Level (k) on the respective Observation Date (k).

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.

  • Optional Redemption Period shall have the meaning set forth in Section 6(a).

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Change of Control Redemption Date shall have the meaning set forth in Section 7.2;

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Optional Redemption Notice Date shall have the meaning set forth in Section 6(a).

  • Optional Redemption Pricing Date means a Valuation Date on which a Redemption Order is determined to be valid and accepted by or on behalf of the Issuer in accordance with the terms of the LS Operating Procedures Agreement.

  • Mandatory Redemption Event has the meaning given to it in Condition 8.7.

  • Mandatory Redemption Date means, in respect of a Mandatory Redemption Event, the date designated as such in accordance with Condition 8.7.

  • Optional Redemption Amount (Call) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Initial Redemption Date means, with respect to any Note or portion thereof to be redeemed pursuant to Section 3.1(b), the date on or after which such Note or portion thereof may be redeemed as determined by or pursuant to the Indenture or a Note Certificate of Supplemental Indenture.
