Event Imagery definition

Event Imagery means any Intellectual Property (including but not limited to trade marks, logos, mascots, patents, copyrights, photographs, videos and designs) solely associated with the Event. Event Date means the date the Event must be conducted by the Host Club which is set out in Item 3 of Schedule 1 of this Agreement. Intellectual Property includes, but is not limited to, ideas, patents, registered and unregistered design rights, registered and unregistered trademarks, drawings, inventions and any copyright subsisting in any works, documents or other items and all other intellectual and industrial property rights (without limitation) and similar or analogous rights existing under the laws of any country and all rights to apply for or register such rights. Key Personnel mean the Host's key personnel as set out in Item 5 of Schedule 1. Rights mean the right to host the Event during the Term in accordance with this Agreement. Venue means [Insert Venue].   • Triggering Event II means the date on which the Common Share Price is greater than $15.50 after the Closing Date, but within the Earn Out Period.

  • Servicer Termination Test With respect to any Distribution Date, the Servicer will fail the Servicer Termination Test if the Realized Loss Percentage for the Mortgage Loans exceeds the applicable percentages set forth below with respect to such Distribution Date: January 2006 through December 2007 2.75% January 2008 through December 2008 3.25% January 2009 through December 2009 3.75% January 2010 and thereafter 4.50%

  • Domestic content procurement preference ’ means all iron and steel used in the project are produced in the United States; the manufactured products used in the project are produced in the United States; or the construction materials used in the project are produced in the United States.

  • Fluoroscopic imaging assembly means a subsystem in which X-ray photons produce a visual image. It includes the image receptor(s) such as the image intensifier and spot-film device, electrical interlocks, if any, and structural material providing linkage between the image receptor and diagnostic source assembly.

  • Alternative nicotine product means any noncombustible product containing nicotine that is intended 766 for human consumption, whether chewed, absorbed, dissolved, or ingested by any other means. 767 "Alternative nicotine product" does not include any nicotine vapor product, tobacco product, or product 768 regulated as a drug or device by the U.S. Food and Drug Administration (FDA) under Chapter V (21 769 U.S.C. § 351 et seq.) of the Federal Food, Drug, and Cosmetic Act.
