This Agreement, the Plan of Merger and the Transaction have been authorized by all necessary corporate action of EVBS, the EVBS Board, EVB and the board of directors of EVB, as applicable.
Immediately prior to the Effective Time, EVBS and EVB shall take all action necessary to appoint one individual who is a director of VCB on the date hereof and who is chosen by EVBS and EVB after consultation with VCB to the EVBS Board and the board of directors of the Surviving Bank, to be effective as soon as reasonably practicable following the Effective Time.
