EU Lender definition

EU Lender in respect of a Spanish Borrower, a Lender which (a) is resident for Tax purposes in a member state of the European Union (other than Spain) acting directly or through a permanent establishment located in another a member state of the European Union (other than Spain), provided that it does not act in respect of the Loan through a permanent establishment located in Spain or in a jurisdiction other than a member state of the European Union; and (b) does not obtain the relevant income through a state or territory treated as a tax haven pursuant to Spanish laws and regulations (currently set out in Royal Decree 1080/1991, of 5 July -Real Decreto 1080/1991, de 5 de ▇▇▇▇▇-, as amended or restated).
EU Lender means (i) any German Lender and (ii) any lender established under the laws of a member state of the European Union.
EU Lender means any Lender which is subject to the EU Securitization Rules as an “institutional investor” within the meaning set out therein (or, where applicable, an affiliate thereof).

Examples of EU Lender in a sentence

  • For purposes of calculating Required Lenders in connection with any amendment, waiver, determination or direction relating to any part of this Section 5.21 of which a EU Lender does not have the benefit, such EU Lender shall be deemed not to be a “Lender” hereunder.

  • For purposes of calculating Required Lenders in connection with any amendment, waiver, determination or direction relating to any part of this Section 6.15 of which a EU Lender does not have the benefit, such EU Lender shall be deemed not to be a “Lender” hereunder.

  • The Borrower (and the Servicer acting on behalf of the Borrower) covenants in favor of the Administrative Agent and each EU Lender that as of the first Business Day of each Transparency Report Unavailability Period it shall as soon as reasonably practicable thereafter appoint a replacement Reporting Agent.

EU Lender means and entity resident for Tax purposes in (i) a Member State of the European Union (other than Spain) or (ii) a permanent establishment of such European Union resident situated in another State of the European Union to which that ▇▇▇▇▇▇’s participation in the Finance Documents is effectively connected, or (iii) a member of the European Economic Area (other than Spain), or (iv) a permanent establishment of such European Economic Area resident situated in another State of the European Economic Area, provided that it does not act through a country or territory classified as a non-cooperative jurisdiction pursuant to Spanish law (as determined from time to time by the Spanish Minister of Finance) nor through a permanent establishment in Spain and, in the case of (iii) and (iv) above, there is an effective exchange of Tax information between Spain and such State in the European Economic Area.
EU Lender means a Lender resident for tax purposes in a jurisdiction that is a member state of the European Union (other than Spain) or a permanent establishment of such European Union tax-resident Lender located in another member state of the European Union, provided that it does not obtain the relevant income item through a territory regarded as a tax haven for Spanish tax purposes (as currently defined under Spanish Royal Decree 1080/1991, of July, and as it may be set out in any successor tax legislation) nor acts through a permanent establishment located in Spain or outside the European Union with which such Lender’s income may be effectively connected.
