Upon final resolution of said challenge (including final appeal by IVPC4 to the highest authority with jurisdiction over the matter), MECI shall pay to UPC: (i) the Contingent Payment amounts withheld (plus accrued interest) in the event that IVPC4 is successful, or (ii) such lesser amount (plus accrued interest), down to zero, as is required to help restore the cash flows (NPV Basis) which MECI would have otherwise received had such challenge to the award of EU Grants to IVPC4 not been successful.
If as of the date of such model re-run, any third party has not validly challenged the award of EU Grants to IVPC4, then MECI and/or IEBV5, as the case may be, shall immediately release said funds to UPC (plus any interest earned on such amounts).
