  • ETCO Holdings does not own or lease any assets other than a 75% Percent Interest (as defined in the Development Company Agreement for ETCO) in ETCO.

  • Notwithstanding the foregoing, the Cash Consideration paid at the Closing shall be reduced by an amount equal to the aggregate amount of (i) capital costs funded by ETE to DA Holdings or ETCO Holdings at any time prior to the Closing and (ii) any development expenses funded by ETE to DA Holdings or ETCO Holdings after November 17, 2014 and on or prior to the Closing (the “ETE Reimbursement Amount”).
