Estimated Rebate Amount definition

Estimated Rebate Amount has the meaning set forth in Section 2(h)(iii).
Estimated Rebate Amount means the amount equal to the difference between Estimated Net Book Value and the sum of the Closing Cash Payment plus the Preferred Consideration, provided that in no event shall the Estimated Rebate Amount be less than zero.

  • To the extent the Estimated Rebate Amount is greater than $0, the Initial Purchase Price shall be reduced by the amount of the Estimated Rebate Amount.
