Estimated Excess Amount definition

Estimated Excess Amount means the amount, if any, by which the Estimated Working Capital exceeds the Base Amount, as set forth in the Sellers’ Representative’s statement furnished to Buyer pursuant to Section 1.7(a).
Estimated Excess Amount means, where the Estimated Working Capital is greater than the Estimated Target Working Capital, the amount by which the Estimated Working Capital is greater than the Estimated Target Working Capital.
Estimated Excess Amount is defined in Section 4.6(b).

Examples of Estimated Excess Amount in a sentence

  • If the Excess Amount exceeds the Estimated Excess Amount, then within ten (10) Business Days after the date of such determination, Seller shall remit to Buyer the amount by which the Excess Amount exceeds the Estimated Excess Amount.

  • At the Closing, Buyer shall pay to Seller an amount in cash equal to the Purchase Price minus the sum of the Escrow Amount, the Estimated Adjustment Amount and the Estimated Excess Amount (if any).

  • If the Excess Amount is less than the Estimated Excess Amount, then within ten (10) Business Days after the date of such determination, Buyer shall remit to Seller the difference between the Estimated Excess Amount and the Excess Amount.

  • Forthwith after such mutual agreement upon the Estimated Excess Amount, NMC shall deposit a sum equal to the Estimated Excess Amount (the "Deposit Money") into the Account.

More Definitions of Estimated Excess Amount

Estimated Excess Amount has the meaning given in Section 3.2(a);
Estimated Excess Amount means the amount, if any, by which the Estimated Working Capital exceeds the Base Amount.
Estimated Excess Amount means an amount (which shall not be less than $0) equal to the difference between (a) the sum of (i) Estimated Cash plus (ii) Estimated Working Capital minus (b) Target Working Capital. For the avoidance of doubt, if the difference determined pursuant to the immediately preceding sentence is less than $0, such difference shall be deemed to be $0.
