estate agent means the Estate Agent referred to in Clause 9.1 of the Covering Schedule;
real estate agent means any person, who negotiates or acts on behalf of one person in a transaction of transfer of his plot, apartment or building, as the case may be, in a real estate project, by way of sale, with another person or transfer of plot, apartment or building, as the case may be, of any other person to him and receives remuneration or fees or any other charges for his services whether as commission or otherwise and includes a person who introduces, through any medium, prospective buyers and sellers to each other for negotiation for sale or purchase of plot, apartment or building, as the case may be, and includes property dealers, brokers, middlemen by whatever name called;
State agencies means all departments,
DIP Agents means the DIP ABL Agent and the DIP Term Loan Agent.
Collateral Agents means the Credit Agreement Collateral Agent, the Initial Additional First Lien Collateral Agent and each Additional Collateral Agent.
Administrative Agents the collective reference to the General Administrative Agent and the Canadian Administrative Agent.
Corporate Agent means any person who is or was a Director, officer, employee or agent of the Company and any person who is or was a Director, officer, trustee, employee or agent of any other enterprise, serving as such at the request of the Company, or the legal representative of any such Director, officer, trustee, employee or agent;
Administrative Agent-Related Persons means Administrative Agent (including any successor agent), together with its Affiliates and the officers, directors, employees, agents and attorneys-in-fact of such Persons and Affiliates.
Grantee Agents means Xxxxxxx’s representatives, employees, officers, as well as any contractor or subgrantee's employees, contractors, officers, principals and agents.
State agency means any of the principal departments in the Executive Branch of the State Government, and any division, board, bureau, office, commission or other instrumentality within or created by such department, the Legislature of the State and any office, board, bureau or commission within or created by the Legislative Branch, and any independent State authority, commission, instrumentality or agency.
Managing Agents is defined in the preamble.
Supplemental Administrative Agents shall have the corresponding meaning.
Athlete agent means an individual who enters into an agency contract with a student-athlete or, directly or indirectly, recruits or solicits a student-athlete to enter into an agency contract. The term includes an individual who represents to the public that the individual is an athlete agent. The term does not include a spouse, parent, sibling, grandparent, or guardian of the student-athlete or an individual acting solely on behalf of a professional sports team or professional sports organization;
DIP Agent means the administrative agent for the DIP Lenders as defined in the DIP Credit Agreement.
Administrative Agent Account an account designated by the Administrative Agent from time to time.
Canadian Securities Administrators means the securities commission or other securities regulatory authority of each province and territory of Canada;
Administrative Agent's Payment Office means the address for payments set forth on the signature pages hereof in relation to the Administrative Agent or such other address as the Administrative Agent may from time to time specify in accordance with Section 10.01.
Custodial Agent means the Person who is then the Custodial Agent thereunder.
Administrative Agent means Bank of America in its capacity as administrative agent under any of the Loan Documents, or any successor administrative agent.
Syndication Agents as defined in the preamble hereto.
Prepetition Agent means Goldman Sachs Bank USA in its capacity as administrative agent and collateral agent under the Prepetition Credit Agreement.
ABL Administrative Agent means Bank of America in its capacity as administrative agent and collateral agent under the ABL Facilities Documentation, or any successor administrative agent and collateral agent under the ABL Facilities Documentation.
Collateral Agent as defined in the preamble hereto.
First Lien Administrative Agent means the “Administrative Agent” as defined in the First Lien Credit Agreement.
Secured Parties means, collectively, the Administrative Agent, the Collateral Agent, the Lenders, the Hedge Banks, the Cash Management Banks, the Supplemental Administrative Agent and each co-agent or sub-agent appointed by the Administrative Agent from time to time pursuant to Section 9.01(c).
Collateral Trustee has the meaning set forth in the preamble.
