Essential Provisions are defined as Paragraphs 3, 7 and 9.

  • In the event that there is any Company Collaboration IP that is discovered, generated, invented, made, conceived or reduced to practice by any Third Party (or jointly by Company (or its Affiliate) and any Third Party), then Company will ensure that such Third Party assigns or licenses all right, title and interest in and to such Company Collaboration IP to Company in accordance with the Subcontracting Essential Provisions.

  • Company will ensure that no Third Party performs any activities under any Collaboration Program unless and until such Third Party has agreed to the Subcontracting Essential Provisions.
