ESOP Documents definition

ESOP Documents means, collectively, the ESOP, the ESOT Trust Agreement and all other agreements, documents and instruments executed and/or delivered in connection with any of the foregoing, as each of the foregoing now exists and may hereafter be amended, modified, supplemented, extended, renewed, restated or replaced.

ESOP Documents means the “ESOP Documents” as defined in the June 2009 Senior Facilities Agreement.

ESOP Documents means all written documentation constituting the ESOP and its related trust, as contemplated by Sections 402 and 403 of the Internal Revenue Code. "Exhibits 1 through 4," inclusive, shall mean the Exhibits so marked, copies of which are attached to this Agreement. Such Exhibits are hereby incorporated by reference herein and made a part hereof, and may be referred to in this Agreement and any other related instrument or document without being attached hereto.

• The Trustee will conduct the vote of the participants and beneficiaries in compliance with all requirements of ERISA and applicable state and federal laws and consistent with the provisions of the ESOP Documents, as amended as necessary to satisfy the provisions of this Agreement, including this Subsection (a).

• Common Stock Sellers and Preferred Stock Seller, respectively, are not a party to any agreement and have no knowledge of any agreement or impediment, other than compliance with applicable law and with the applicable provisions of the ESOP Documents, that would prevent amendment, termination or discontinuation of the ESOP.

• Neither the Guarantor, the Master Partnership nor any Operating Company is in default in the payment, performance or observance of any contract, agreement or other instrument to which it is a party or by which it or its properties or assets may be bound, which individually or together with all other such defaults could reasonably be expected to have a Material Adverse Effect or materially impair the ability of the Guarantor to perform or observe the provisions of the Note Documents or the ESOP Documents.

• The Guarantor is Solvent, both before and after giving effect to this Guaranty, the Note Agreement, the other Note Documents, the ESOP Documents and the transactions contemplated hereby and thereby.

• Following the date of Closing, the Company will reasonably promptly proceed to request an updated determination letter from the Internal Revenue Service in order to reflect changes made in the ESOP since the issuance of the September 3, 1996 letter, and, in that connection, the Company agrees to modify the ESOP Documents to the extent reasonably requested by the Internal Revenue Service as a condition to obtaining such updated determination letter.

ESOP Documents means, collectively, that certain Subscription Agreement dated as of September 9, 1988 between Borrower and Manufacturers Hanover Trust Company, as trustee of the DynCorp Employee Stock Ownership Trust established pursuant to the DynCorp Employee Stock Ownership Trust Agreement ("Trust Agreement") adopted as part of the ESOP, the Trust Agreement, the Plan, and that certain 1995 Stock Issuance Agreement dated March 30, 1995 between Borrower and the DynCorp Employee Stock Ownership Trust, in each instance, as amended, supplemented or otherwise modified from time to time as permitted under the terms of this Agreement.

ESOP Documents means the ESOP Plan, the ESOP Trust Agreement, and all other written agreements, documents, instruments and certificates previously, now or hereafter executed and delivered by any Person pursuant to or in connection with any of the foregoing documents, and any and all amendments, supplements and other modifications thereof and all renewals, extensions, restatements or substitutions from time to time of all or any of the foregoing.

ESOP Documents means the Plan, the Trust Agreement, all -------------- amendments thereto, all determination letters issued by the Internal Revenue Service with respect to the Plan or the Trust Agreement, resolutions and directives to Trustee by the Committee authorizing Trustee to enter into this Agreement and the Ancillary Documents to which Borrower is a party, and a verification executed by a Responsible Officer of Mercury attesting to the membership and the signatures of the members of the Committee.

ESOP Documents means, collectively, that certain Subscription Agreement dated as of September 9, 1988 between Borrower and Manufacturers Hanover Trust Company, as trustee of the DynCorp Employee Stock Ownership Trust established pursuant to the DynCorp Employee Stock Ownership Trust Agreement ("Trust Agreement") adopted as part of the ESOP, the Trust Agreement, the Plan, and that certain 1995 Stock Issuance Agreement dated March 30, 1995 between Borrower and the DynCorp Employee Stock Ownership Trust.

ESOP Documents means, collectively, ESOP Trust's plan document and promissory notes and related security documents given by the ESOP Trust to the Company.

ESOP Documents means the Company’s Employee Stock Ownership Plan, effective as of January 1, 2016, including amendments 1-5, and the Company’s Employee Stock Ownership Trust Agreement, effective as of January 1, 1998, together with the Successor Trustee Engagement Letter between the Company and Argent Trust Company, dated February 16, 2015.

ESOP Documents means the ESOP Subscription Agreement and any other document which relates to or is ancillary to the ESOP Issue.
