Escrowed Items definition

Escrowed Items has the meaning set forth in Section 7.7 hereof.
Escrowed Items shall have the meaning set forth in Section 4(c) hereof. --------------
Escrowed Items means the Source Code and Executable Code of Enterprise Products, including the Application Code, the Platform Code and the ReMacs/VLM Code. Enterprise shall provide upgrades to the Escrowed Items to the Agent reasonably promptly after Enterprise makes an Upgrade generally available to other resellers or clients.

  • Proceeds received from subscribers will be deposited into the Escrow Account, as defined below, (the Proceeds collectively with the Escrowed Documents hereinafter are referred to as "Escrowed Items").

  • Items -The Transaction Parties hereby acknowledge that the Escrowed Items have been deposited in escrow with the Escrow Agent, all pursuant to the terms and conditions of this Agreement.

  • Purchaser and Seller shall have the right, but shall not be obligated to, execute and deliver to Escrow Agent jointly, at the effective time of each such merger, replacement Escrowed Items in the name of each surviving corporation described in the preceding sentence, to be held in escrow hereunder, in place and instead of any Escrowed Items.

  • The Escrow Agent shall hold the Escrowed Items in escrow pursuant to this Agreement.

  • This Escrow Agreement shall terminate when the Escrowed Items shall have been distributed as above provided subject to the provisions of Section 4 which shall survive any such termination.

  • The Escrow Agent undertakes to perform only such duties as are expressly set forth herein, which duties, as hereinabove set forth in Sections 1, 2 and 3 hereof, shall terminate upon the release of the Escrowed Items as contemplated above.

Escrowed Items means collectively, (i) the Conveyance Documents, (ii) the Ancillary Agreements, and (iii) Tranche 1, Tranche 2, Tranche 3 and Tranche 4 of the Fortune Partners' Initial Capital Contributions, each of which are to be deposited with the Escrow Agent in accordance with the terms of Section 5.1(a) of this Agreement.
Escrowed Items means, collectively, the cash and interest earned thereon, the stock certificates and instruments representing all of the Escrow Shares and any Distributions and Secondary Distributions (as such terms are defined below) then in the Escrow Account, the Stock Powers and all other Escrowed Items then in the Escrow Account pursuant to this Agreement.
