Except as provided in Section 15, no modification, amendment or waiver of any of the provisions of this Agreement shall be effective unless in writing specifically referring hereto and signed by the Executive and by an ESCO Representative.
The ESCO may replace the ESCO Representative with a person of equivalent experience and expertise with the prior written consent of the Client which shall not be unreasonably withheld or delayed.
The Parties agree that the Customer Representative and the ESCO Representative have the authority to send and receive notices under this Contract and are authorised to act on behalf of the Customer and the ESCO respectively during the course of this Contract and with respect to the discharge of each Party's contractual obligations.

The Developer and the Developer Representative shall be entitled to treat any act of the ESCO Representative arising out of or in connection with this Agreement as being expressly authorised by ESCO (save where ESCO has notified the Developer in writing that such authority has been limited or revoked) and the Developer shall not be required to determine whether any express authority has in fact been given.
The ESCO shall appoint the ESCO Representative who on the date of execution of this Agreement shall be [ ]19.
