Following Completion, the Initial Consideration shall be adjusted in accordance with sub-clause 2.4 by reference to the Actual Net ERO Debt and the Actual Net ERO Assets as defined in Schedule 2 and pursuant to the Determination of the ERO Purchase Price Adjustment Statement in accordance with the Separation Agreement (such adjusted Initial Consideration herein referred to as the “Consideration”).
