ER IP means all of the trademarks, trade names, website, and proprietary system for End of the Roll's operating franchises, purchased by Alaris Partnership.

Licensed IP means the Licensed Patents and the Licensed Know-How.
Company IP means all Intellectual Property Rights that are owned or purported to be owned by the Company.
Seller IP means all Intellectual Property Rights and Intellectual Property in which the Seller has (or purports to have) an ownership interest or an exclusive license or similar exclusive right.
Business IP means all Intellectual Property which has in the last two years been used or intended to be used in, or in connection with, the business of the Company;
Developed IP means Intellectual Property developed by either Party during the Term (individually or jointly) and relating to the Purpose, or any improvements, enhancements or derivative works thereof.
