Equivalent Billing Units definition

Equivalent Billing Units means the units described on Schedule 1.11, as the same may be updated at Closing pursuant to Section 15.9.
Equivalent Billing Units for any period means the amount of total Recurring Revenue divided by the greater of:
Equivalent Billing Units means a hypothetical equivalent to a Basic Subscriber determined, as of any date and for each franchise area served by the CATV Systems, by dividing (a) the total monthly billxxxx xxx sales by the CATV Systems to bulk and commercial accounts for Basic Package Services during the most recent full month ended prior to the date of calculation, by (b) the standard monthly rate (without discount of any kind) charged during such month to single family households for Basic Package Services sold by the CATV Systems; except any such bulk subscriber (a) who is more than sixty (60) calendar days past due (from the original due date as stated on the billing statement) in the payment of any amount exceeding Ten Dollars ($10), (b) who has not paid at least two (2) months' payment for Basic Package Services in full without discount and all installation charges billed therefor, or (c) whose service is pending disconnection for any reason.

Equivalent Billing Units means the sum of: (a) the number obtained by dividing the aggregate monthly amount billed as of the Closing Date by Seller to bulk subscribers of the CATV Systems, such as hotels, motels and apartment houses, that receive Basic Package Services (not more than a single month's billing for any single bulk account and excluding installation and other non-recurring charges), by the full monthly rate charged to single family households in the CATV Systems for Basic Package Services, provided, that no part of the account of any bulk subscriber (other than interest and late fee charges) is more than sixty (60) days past due from the original due date of billing, and provided further that each such bulk subscriber has paid at least two (2) months' regular charges for Basic Package Services and all installation charges billed therefor; and (b) the number obtained by dividing the aggregate monthly amount billed as of the Closing Date by Seller to Basic Service Tier subscribers (excluding installation and other non-recurring charges) by the full monthly rate charged to subscribers of the Basic Package Services, and provided further, that no part of the account of any Basic Service Tier subscriber (other than interest and late fee charges) is more than sixty (60) days past due from the original due date of billing, and provided further that each Basic Service Tier subscriber has paid at least two (2) months' regular charges for such services and all installation charges billed therefor.

Equivalent Billing Units or “EBUs” means, as of any date of determination, the sum of: (i) the number of Active Customers of the Systems that subscribe to either Basic Service or Expanded Basic Service in a single household (without duplication) and (ii) the number of Active Customers of the Systems that are Commercial Video Subscribers to either Basic Service or Expanded Basic Service (without duplication); provided, that the number of Active Customers of the Systems that are Commercial Video Subscribers shall be determined by dividing the gross bulk-rate revenue for Basic Service or Expanded Basic Service (but not revenues from tier or premium services, installation or converter rental or from any outlet or connection other than such customer’s first or from any pass-through charges for sales taxes, line-itemized franchise fees, fees charged by the FCC and the like) attributable to such Commercial Video Subscribers during the most recent billing period ended prior to the date of calculation (but excluding xxxxxxxx in excess of a single month’s charge) by the applicable subscription rate for Basic Service and/or Expanded Basic Service for individual households within the System to which such Commercial Video Subscriber subscribes.
Equivalent Billing Units means that number of customers of the System calculated by dividing by $28.64 the sum of the aggregate monthly xxxxxxxx, before nonrecurring charges or credits, for the month in which such calculation is being made, attributable to the Basic Customers and Bulk Customers for Basic Service, MVP Service and CPS Service, all as described in Schedule 3.8 (excluding xxxxxxxx in each instance for service in any month other ------------ than the month for which the Equivalent Billing Units are being calculated, and charges relating to services other than Basic, MVP and CPS Service, such as charges for internal wiring maintenance, converters, remotes, cable guides, premium services, taxes, copyright fees, late charges and installation and disconnect charges). For purposes of making the calculation in this formula, payments on account of monthly xxxxxxxx to a customer will be deemed to be due on the first day of the month during which the service to which the billing relates is provided.

When determining the number of Equivalent Billing Units or EBUs, the Parties shall credit only payments received from Active Customers in good faith and shall treat all payments received, unless otherwise specifically contested, as applicable to the earliest period for which any Account Receivable is due and payable from the customer making the payment. In no event shall any credit, rebate or similar form of price concession be taken into account when determining whether or not a an account qualifies as an Equivalent Billing Unit or EBU unless such credit, rebate or similar form of price concession is given in the ordinary course of business and not for the purpose of qualifying an account as an Equivalent Billing Unit or EBU.
