  • If the Commencement Date is not the first day of a month or the termination date is not on the last day of a month, the Monthly Equity Subscription Amount will be prorated based on a 30-day period.

  • The number of Shares to be purchased and sold under this Agreement shall be equal to quotient of (i) the Adjusted Equity Subscription Amount, determined in accordance with the EquityBase Agreement (as potentially reduced pursuant to Section 4(c) of the EquityBase Agreement), divided by (ii) the per share price (the “Per Share Price”) set forth on the signature page hereto, rounded to the nearest one thousandth of a Share.

  • If more than one certificate evidencing Notes shall be surrendered for conversion and exercise at one time by the same Holder, the number of full shares issuable upon conversion and exercise thereof shall be computed on the basis of the aggregate principal amount and Extra Equity Subscription Amount of the Notes so surrendered.

  • If deductions exceed the Potential Equity Subscription Amount, then EBI will pay the Company the excess within ten (10) days after the Company makes written demand for the excess from EBI.
