Equity Performance definition

Equity Performance means, in respect of an Equity Cash Settlement Date, an amount in the Settlement Currency determined by the Calculation Agent as of the Equity Valuation Date to which the Equity Cash Settlement Amount relates, pursuant to the following formula:

  • The value of such Equity Performance Awards or Equity Service Awards shall be determined based on the proceeds received by shareholders for a share of PFG common stock in such Reorganization Transaction (with any question pertaining to the value received by shareholders to be conclusively determined by the Board of PFG (or any duly authorized committee thereof), as constituted immediately prior to the Effective Date.

  • This Agreement takes precedence over any other agreement, including the Company’s 2001 Equity Performance Plan, for interpreting the provisions of this Agreement.

  • The Cash Bonus shall be payable in cash and the Equity Performance Bonus amount shall be payable by the issuance of Employer common stock, with the number of shares applicable thereto as outlined below, subject to Section 2(d).

  • For the avoidance of doubt, this Section 3 shall not apply to performance units granted under the Company’s Key Senior Talent Equity Performance Program (KSTEPP), for which any acceleration will be solely in accordance with the award agreements evidencing such units.

  • The Equity Performance Bonus shall be an award to Employee, partially subject to risk of forfeiture as set forth below, of that number of shares of common stock of Employer that could be purchased at the "Stock Factor Price" based upon the Equity Performance Bonus amount earned by Employee with respect to each Year.

  • For the avoidance of doubt, this Section 3 shall not apply to performance units granted under the Company’s Key Senior Talent Equity Performance Program (KSTEPP), for which any acceleration will be solely in accordance with the award agreements evidencing such units).

  • However, such right of first refusal shall terminate upon a breach by Dealer of any agreement with JDCEC or any of JDCEC's Affiliates, or if Dealer would not satisfy the Equity Performance Standard at the time of reappointment.

  • In order to earn any of the Equity Performance Bonus amounts with respect to a particular Year (the "Base Year"), Employee must be employed by Employer at the end of the Base Year in question.

  • Employee shall be entitled to earn a bonus for each Year comprised of a "Cash Bonus" portion and an "Equity Performance Bonus" portion, both of which shall be subject to ceiling amounts set forth below, and which will be achieved to the extent that Employer performs within certain specified percentages of the "Budget" for each Year, as detailed below.

  • Basket Performance means a decimal number calculated by applying the following formula:

  • Final Performance means the Final Valuation Price divided by the Initial Price(Settlement) each in respect of the Worst Performing Underlying Asset as calculated in respect of the Final Valuation Date. "Final Valuation Date" means 29 November 2027, subject to adjustment.

  • Total Performance means that the entire Work, except those items arising from the provisions of any warranty, have been performed in accordance with the Contract;

  • Capacity Performance Resource means a Capacity Resource as described in Tariff, Attachment DD, section 5.5A(a).
