Equity Floor definition

Equity Floor shall have the meaning as set forth in Section 8.2(h) of the Agreement.
Equity Floor means as of any date of determination, the greater of (i) the eight largest (determined by Adjusted Outstanding Loan Balance) Eligible Loans (and if a single Obligor or any of its Affiliates is the obligor of more than one Eligible Loan, all of the Eligible Loans owed by such Obligor or such Affiliates shall be treated as a single Eligible Loan) or (ii) $20,000,000.
Equity Floor shall have the meaning assigned to such term in the Indenture.

Examples of Equity Floor in a sentence

  • At the Effective Time, Seller’s shareholders’ equity shall not be less than the Equity Floor.

  • At the Effective Time, Cornerstone’s shareholders’ equity shall not be less than the Equity Floor.

  • If (i) Tangible Net Equity at 12:01 a.m. on the Closing Date is less than the Net Equity Floor, and/or (ii) Net Working Capital at 12:01 a.m. on the Closing Date is less than the Working Capital Floor, then the Purchase Price shall be reduced, dollar-for-dollar, by a dollar amount equal to the amount of cash which would be required to bring both such requirements into compliance (hereinafter, the “Post-Closing Purchase Price Reduction”).

Related to Equity Floor

  • SOFR Floor means a rate of interest per annum equal to zero basis points (0.00%).

  • OC Floor An amount equal to 0.50% of the Pool Balance as of the Cut-Off Date.

  • Lowest floor means the lowest floor of the lowest enclosed area (including basement). An unfinished or flood resistant enclosure, usable solely for parking of vehicles, building access, or limited storage in an area other than a basement area is not considered a building's lowest floor, provided that such an enclosure is not built so as to render the structure in violation of the applicable non-elevation design requirements of this ordinance.

  • Ground floor means a floor of a building with a building entrance on an accessible route. A building may have more than one ground floor.

  • Wood floor wax means wax-based products for use solely on wood floors.
