Equity Drawdown Amount definition
Equity Drawdown Amount means the amount to be paid by the Investor to the Company, from time to time, pursuant to the relevant Equity Drawdown Notice and Acceptance Notice, which Equity Drawdown Amounts will, from time to time on funding, reduce the outstanding amount of the Commitment and which Equity Drawdown Amount is equal to the product of the Subscription Price multiplied by the Subscription Number;

On each Drawdown Date, the Investor will wire the Equity Drawdown Amount specified in the applicable Acceptance Notice to the Company in accordance with particulars provided by the Company and the Company shall issue to the Investor the Common Shares subscribed for by the Investor in the Acceptance Notice.
If this Agreement is terminated by the Investor pursuant to this Section 9.3, the Investor will refund a portion of the Fee to the Company and surrender a number of the Warrants to the Company for cancellation within five (5) Business Days of such termination, pro rata based on the aggregate of the Equity Drawdown Amount funded to date.
