Any excess funds returned to the Equity Contributors from the Equity Funding Account shall be returned in the proportions directed by the Equity Contributors.
The Parties acknowledge that Equity Contributions may be funded through equity funding to intermediate holding companies between the Borrower and the Equity Contributors and any funding through such an intermediary shall constitute Equity Contributions of the applicable Equity Contributor, so long as the funds representing such Equity Contributions are deposited into the applicable Project Account.

As of the date hereof, the Equity Guarantor directly or indirectly owns 100% of the equity interests in each of the Equity Contributors.
Neither such Equity Contributor, the Contributed Entities in which such Equity Contributor owns an equity interest, nor any of their respective Affiliates has employed any broker, finder or other person or incurred any liability on behalf of the Equity Contributors for any advisory, brokerage, finder, success, deal completion or similar fees or commissions in connection with the transactions contemplated by this Agreement.
At the Closing, the Asset Contributors, the Equity Contributors or the Contributors’ Representatives, as applicable, shall have delivered or caused to be delivered to the MLP, the GP, Intermediate GP, Intermediate Holdings or Holdings, and the MLP, the GP, Intermediate GP, Intermediate Holdings or Holdings shall have delivered or caused to be delivered to the Asset Contributors, the Equity Contributors or the Contributors’ Representatives, as applicable, the Transaction Documents.
The Equity Contributor shall be fully protected in making payments to the Administrative Agent hereunder, such payments shall fully discharge the Equity Contributor's obligations to the Company or any other Person hereunder and under no circumstances may the Equity Contributor be required to make Equity Contributions hereunder that exceed, together with all amounts available to be drawn under the Equity Letter of Credit and Limited Guarantee Agreement (GTS), the Equity Contribution Commitment.
