Where Equalisation Interest or any interest is payable by a Subsequent Investor pursuant to clause 4.4, such amounts shall be payable in addition to the Commitment of such Subsequent Investor, shall not be reflected in the capital account or loan account of such Subsequent Investor and shall not be treated as a distribution for any purposes of this Agreement.
The Equalisation Amount and Equalisation Interest shall be distributed to Previous Investors pro rata to their respective Outstanding Loans as soon as is practicable after receipt from Subsequent Investors.
Following the application of this clause 4.7, any amounts on the balance of the Partnership capital account of NPS shall be distributed to NPS (being the amount set out opposite its name in column AQ of the table in Schedule 9) and the aggregate amounts of Equalisation Interest Payment shall be paid to NPS.
