EPIL Consideration definition
EPIL Consideration has the meaning set forth in Section 4.01(a).
EPIL Consideration shall have the meaning set forth in Section 3.1

Notwithstanding anything to the contrary elsewhere in this Section 4.02, in no event shall any portion of the EPIL Consideration be allocated to EPI (or to the assets owned by EPI) or any portion of the EPI Consideration be allocated to EPIL (or to the assets owned by EPIL).
The EPI Consideration and the EPIL Consideration shall be paid by Buyer to EPI and EPIL, respectively, on the Closing Date, by wire transfer of immediately available funds, to the bank account(s) of such entities provided to Buyer.
