EPC Assets means any and all Assets of the Parties or their respective Subsidiaries as of the Effective Time, other than the EHP Assets, including:

Notwithstanding the foregoing, any Delayed EPC Assets or Delayed EPC Liabilities shall continue to constitute EPC Assets or EPC Liabilities, respectively, for all other purposes of this Agreement.
To the extent that the rights and obligations of EHP or another EHP Group Member under any agreements, arrangements, commitments or understandings not terminated under this Section 2.04(b) constitute EPC Assets or EPC Liabilities, they shall be assigned or assumed by EPC or the applicable EPC Group Member or designee pursuant to this Agreement.
