Enventure definition

Enventure. Enventure wishes to provide Confidential Information to Company for the Purpose (defined below). Enventure considers the Confidential Information it will provide to Company confidential and extremely valuable (including value derived from such information remaining confidential).
Enventure means Enventure Global Technology LLC.

Examples of Enventure in a sentence

  • Enventure shall have the right, at its expense, to object to such disclosure and to seek confidential treatment of the Confidential Information on such terms as it shall determine.

  • Supplier further agrees that in the event a Purchase Order is not issued, the Terms and Conditions will still govern the purchase of goods or services by Enventure from Supplier or any subsidiary companies.

  • Enventure retains all copyrights in the Confidential Information and Company hereby agrees not to copy the Confidential Information, in whole or in part, except as is necessary to perform its tasks for the Purpose.

  • Supplier expressly waives attachment of the Terms and Conditions to each and every Purchase Order and agrees that such Terms and Conditions will exclusively govern Purchase Orders that are issued by Enventure to Supplier and any subsidiary companies after the date of this agreement, unless changed or revised by mutual written agreement signed by authorized representatives of both parties.

  • Company acknowledges and agrees that all information provided Enventure to Company under this Agreement, and any change, modification, enhancement or derivative work based on such information (“Derivative Work”), is and shall remain the property of Enventure.

  • Company will assign and take other such steps necessary to assist Enventure in perfecting, registering or documenting disclosing party’s ownership of Derivative Works created by Company based on Enventure’s information.

  • The provisions of this Agreement shall apply to any work performed by Company or results of such work performed by Company pursuant to Confidential Information provided by Enventure hereunder.

  • Within ten (10) days from the date of termination of this Agreement for any reason, Company shall return to Enventure the Confidential Information and all copies thereof in the possession or control of Company or destroy all such information and provide a written certification of such destruction to Enventure.

  • Company hereby agrees to notify Enventure immediately of any unauthorized use of the Confidential Information of which Company becomes aware and to fully cooperate with Enventure, without expense to Company, in any defense of Enventure’s proprietary rights in the Confidential Information.

  • Enventure is to provide Confidential Information to Company as specified in Appendix A (“Purpose”).

Related to Enventure

  • Venture means any group of two or more persons associated in fact, whether or not a legal entity.

  • Company Joint Venture means any corporation or other entity (including partnership, limited liability company and other business association) that is not a Company Subsidiary and in which the Company or one or more Company Subsidiaries owns an equity interest (other than equity interests held for passive investment purposes which are less than 5% of any class of the outstanding voting securities or other equity of any such entity).

  • Microenterprise means an enterprise which employs fewer than 10 persons and whose annual turnover and/ or annual balance sheet total does not exceed EUR 2 million as defined in Article 1 and Article 2(1) and (3) of the Annex to Recommendation 2003/361/EC as may be amended from time to time;

  • Joint Venture means any joint venture entity, whether a company, unincorporated firm, undertaking, association, joint venture or partnership or any other entity.

  • Venture capital fund means a private fund that meets the definition of a venture capital fund in SEC Rule 203(l)-1, 17 C.F.R. § 275.203(l)-1.
