Entry Only System definition

Entry Only System means the system of registration described in Section 301(c)(ii).
Entry Only System and "Bond Insurance" and in Appendix E, and any information furnished in writing by the Underwriter specifically for use therein) contains an alleged untrue statement of material fact or an alleged omission to state any material fact necessary to make the statements therein not misleading in light of the circumstances under which they were made, or (ii) arising by virtue of the failure to register the Bonds under the Securities Act of 1933, or to qualify the Indenture under the Trust Indenture Act of 1939.

  • CDS will initiate the exercise by way of the Confirmation and forward the aggregate Exercise Price electronically to the Warrant Agent and the Warrant Agent will execute the exercise by issuing to CDS through the Book- Entry Only System the Warrant Shares to which the exercising Beneficial Owner is entitled pursuant to the exercise.

  • Book Entry Only System Registration of interests in and transfers of the Units will be made only through the Book-Entry Only System.

  • In the case of non certificated Refunding Bonds, principal of and interest on the bonds shall be payable by check or draft mailed by the Fiscal Agent (as hereinafter defined) to The Depository Trust Company, New York, New York, or to its nominee, Cede & Co., while the bonds are registered in the name of Cede & Co. in accordance with such Book Entry Only System.

  • Notwithstanding the foregoing, under the DTC Book Entry Only System, transfers and exchange of Receipts will be accomplished as described under "Certain Information Regarding the Receipts - Book-Entry Registration" in the Prospectus.

  • The Series 2015 Bonds shall be initially issued to a Depository for holding in a Book Entry Only System, without further action by the Board.

  • Book Entry Only System: The Notes will be issued by way of a single global certificate registeredin the name of a nominee of CDS and deposited with CDS.

  • While in the Book Entry Only System, there shall be a single bond representing the entire aggregate principal amount of each maturity of the Series 2015 Bonds, and such bond shall be registered in the name of the Depository or its nominee, as Owner, and immobilized initially in the custody of the Depository or its designee.

  • A Beneficial Owner who desires to exercise his or her Uncertificated Warrants held in the Book- Entry Only System, must do so by complying with the internal procedures of CDS (the “ Exercise Notice”).

  • While in the Book Entry Only System, the beneficial owners of book entry interests in the Series 2015 Bonds shall not have any right to receive Series 2015 Bonds in the form of physical certificates.

Related to Entry Only System

  • Book-Entry Only System means the book-based securities transfer system administered by CDS in accordance with its operating rules and procedures in force from time to time;

  • Book-Entry System means the Federal Reserve/Treasury book-entry system for receiving and delivering securities, its successors and nominees.

  • X-ray system means an assemblage of components for the controlled production of x-rays. It includes minimally an x-ray high-voltage generator, an x-ray control, a tube housing assembly, a beam-limiting device, and the necessary supporting structures. Additional components which function with the system are considered integral parts of the system.

  • Cabinet x-ray system means an x-ray system with the x-ray tube installed in an enclosure independent of existing architectural structures except the floor on which it may be placed. The cabinet x-ray system is intended to contain at least that portion of a material being irradiated, provide radiation attenuation, and exclude personnel from its interior during generation of radiation. Included are all x-ray systems designed primarily for the inspection of carry-on baggage at airline, railroad, and bus terminals, and in similar facilities. An x-ray tube used within a shielded part of a building, or x-ray equipment that may temporarily or occasionally incorporate portable shielding, is not considered a cabinet x-ray system.

  • American Express Meeting Planner Account or “AMEX MPA” is the method by which all Master Account charges under this Agreement shall be settled with an American Express Meeting Planner Account or AMEX MPA number. The appropriate and authorized AMEX MPA number will be provided to the Contractor only when a final invoice is received, reviewed, and approved by the AOC, in accordance with the provisions of this exhibit.

  • bouquet of channels means an assortment of distinct channels offered together as a group or as a bundle and all its grammatical variations and cognate expressions shall be construed accordingly;

  • TARGET2 System means the Trans-European Automated Real-Time Gross Settlement Express Transfer (TARGET2) system or any successor thereto.

  • Secondary Systems means control or power circuits that operate below 600 volts, AC or DC, including, but not limited to, any hardware, control or protective devices, cables, conductors, electric raceways, secondary equipment panels, transducers, batteries, chargers, and voltage and current transformers.

  • Book Entry Only Participants means institutions that participate directly or indirectly in the Depository’s book entry registration system for the Warrants;

  • Mobile Network means a 3G or 4G network or any other mobile communications network which we choose to provide Mobile services.

  • E-Verify system means an Internet-based system operated by the United States Department of Homeland Security that allows participating employers to electronically verify the employment eligibility of newly hired employees; and

  • Free appropriate public education means special education and related services that:

  • Online Services means Microsoft-hosted services to which Customer subscribes under this Agreement. It does not include software and services provided under separate license terms.

  • School-sponsored media means all student media that are:

  • public telecommunications network means the public telecommunications infrastructure which enables signals to be conveyed between defined network termination points by wire, by microwave, by optical means or by other electromagnetic means;

  • Public School Student Accessing Courses at a Distance means a student who is scheduled for a full course load through the District and attends all classes virtually.

  • Company’s Website means the website of the Company and/or its web-address or domain name (if any).

  • Alcohol training and education seminar means a seminar that is:

  • Area network means a type of electric distribution system served by multiple transformers interconnected in an electrical network circuit, which is generally used in large metropolitan areas that are densely populated, in order to provide highly reliable service. Area network has the same meaning as the term "distribution secondary grid network" found in institute of electrical and electronics engineers (IEEE) standard 1547 sub clause 4.1.4.

  • General purpose radiographic x-ray system means any radiographic x-ray system which, by design, is not limited to radiographic examination of specific anatomical regions.

  • Mobile Service means the mobile service we provide to you enabling you to use and receive a range of mobile services including, but not limited to, messaging services, age restricted services and premium services.

  • Online means transactions through electronic data-interchange whether real time transactions or otherwise, which may be through the internet, intranet networks and the like.

  • Retail marijuana store means an entity licensed to purchase marijuana from marijuana cultivation facilities and marijuana and marijuana products from marijuana product manufacturing facilities and to sell marijuana and marijuana products to consumers.

  • Online Service means our on-line system for managing the electronic transmission of information between us and Providers;
