CDS will initiate the exercise by way of the Confirmation and forward the aggregate Exercise Price electronically to the Warrant Agent and the Warrant Agent will execute the exercise by issuing to CDS through the Book- Entry Only System the Warrant Shares to which the exercising Beneficial Owner is entitled pursuant to the exercise.
Beneficial Holders of Special Warrants issued in uncertificated form evidenced by a security entitlement in respect of Special Warrants in the Book- Entry Only System who desires to exercise his or her Special Warrants must do so by causing a Participant to deliver to the Depository on behalf of the entitlement holder, notice of the owner’s intention to exercise Special Warrants in a manner acceptable to the Depository.
Except as otherwise provided for herein, beneficial interests in the Special Warrants will be represented only through the Book- Entry Only System.
Transfers of beneficial ownership in any Special Warrant in the Book- Entry Only System between Participants will be effected only in accordance with the rules and procedures of the Depository.
Interest is payable by check or draft mailed by the Trustee to the REGISTERED OWNER of this bond (or of one or more predecessor or successor Bonds (as defined below)), determined as of the close of business on the applicable record date, at its address as shown on the registration books maintained by the Trustee, unless this bond is in the Book- Entry Only System, in which case interest is payable by wire or bank transfer of immediately available funds within the continental United States.
A transfer of Subscription Receipts initiated by a CDS Participant through the Book Entry Only System shall constitute a representation to both the Corporation and the Subscription Receipt Agent that the CDS Participant reasonably believes that the transferee is not in the United States.
The Global Security will be subject to CDS’s applicable rules and procedures of the Book Entry Only System at to Section 3.14 of this Agreement.
So long as DTC or its nominee is the sole registered owner of the Bonds under the Book Entry Only System, redemption notices shall be sent by the Trustee to Cede & Co. and not to Beneficial Owners except as described above.
