Entry Only System. With respect to the Global Special Warrant Certificates, unless and until definitive certificates have been issued to Beneficial Holders pursuant to subsection 3.2(b):
Entry Only System means the system of registration described in Section 301(c)(ii).
Entry Only System and "Bond Insurance" and in Appendix E, and any information furnished in writing by the Underwriter specifically for use therein) contains an alleged untrue statement of material fact or an alleged omission to state any material fact necessary to make the statements therein not misleading in light of the circumstances under which they were made, or (ii) arising by virtue of the failure to register the Bonds under the Securities Act of 1933, or to qualify the Indenture under the Trust Indenture Act of 1939.

Examples of Entry Only System in a sentence

  • CDS will initiate the exercise by way of the Confirmation and forward the aggregate Exercise Price electronically to the Warrant Agent and the Warrant Agent will execute the exercise by issuing to CDS through the Book- Entry Only System the Warrant Shares to which the exercising Beneficial Owner is entitled pursuant to the exercise.

  • Beneficial Holders of Special Warrants issued in uncertificated form evidenced by a security entitlement in respect of Special Warrants in the Book- Entry Only System who desires to exercise his or her Special Warrants must do so by causing a Participant to deliver to the Depository on behalf of the entitlement holder, notice of the owner’s intention to exercise Special Warrants in a manner acceptable to the Depository.

  • Except as otherwise provided for herein, beneficial interests in the Special Warrants will be represented only through the Book- Entry Only System.

  • Transfers of beneficial ownership in any Special Warrant in the Book- Entry Only System between Participants will be effected only in accordance with the rules and procedures of the Depository.

  • Interest is payable by check or draft mailed by the Trustee to the REGISTERED OWNER of this bond (or of one or more predecessor or successor Bonds (as defined below)), determined as of the close of business on the applicable record date, at its address as shown on the registration books maintained by the Trustee, unless this bond is in the Book- Entry Only System, in which case interest is payable by wire or bank transfer of immediately available funds within the continental United States.

  • A transfer of Subscription Receipts initiated by a CDS Participant through the Book Entry Only System shall constitute a representation to both the Corporation and the Subscription Receipt Agent that the CDS Participant reasonably believes that the transferee is not in the United States.

  • The Global Security will be subject to CDS’s applicable rules and procedures of the Book Entry Only System at to Section 3.14 of this Agreement.

  • So long as DTC or its nominee is the sole registered owner of the Bonds under the Book Entry Only System, redemption notices shall be sent by the Trustee to Cede & Co. and not to Beneficial Owners except as described above.

  • Beneficial interests in Subscription Receipts represented by the Global Subscription Receipts will be represented only through the Book Entry Only System.

  • The Book-Entry Only System shall become effective thirty (30) days after the Owners of all the Bonds provide notice in writing to the Bondowner Representative, the Borrower, and the Issuer, subject to the provisions below concerning termination of the Book- Entry Only System.

Related to Entry Only System

  • Book-Entry Only System means the book-based securities system administered by CDS in accordance with its operating rules and procedures in force from time to time;

  • Book-Entry System means the Federal Reserve/Treasury book-entry system for receiving and delivering securities, its successors and nominees.

  • X-ray system means an assemblage of components for the controlled production of x-rays. It includes minimally an x-ray high-voltage generator, an x-ray control, a tube housing assembly, a beam-limiting device, and the necessary supporting structures. Additional components which function with the system are considered integral parts of the system.

  • American Express Meeting Planner Account or “AMEX MPA” is the method by which all Master Account charges under this Agreement shall be settled with an American Express Meeting Planner Account or AMEX MPA number. The appropriate and authorized AMEX MPA number will be provided to the Contractor only when a final invoice is received, reviewed, and approved by the AOC, in accordance with the provisions of this exhibit.

  • TARGET2 System means the Trans-European Automated Real-Time Gross Settlement Express Transfer (TARGET2) system or any successor thereto.
