Intrex and Entrenet Group LLC ("ENTRENET") have entered into an agreement (the "ENTRENET AGREEMENT") dated April 12, 1999 under which Entrenet will be paid a finder's fee of 5% of the Arrangement Consideration paid to the Intrex Shareholders (to a maximum of 3,000,000 FiberChem Shares) to be satisfied at Closing by the issuance to Entrenet of FiberChem Common Shares.
