Entitlement Amount means the amount of funds which a metropolitan city is entitled to receive under the Entitlement grant program, as determined by formula set forth in section 106 of the Act. Extent of growth lag shall have the meaning provided in section 102(a)(12) of the Act. Extent of housing overcrowding shall have the meaning provided in section 102(a)(10) of the Act. • Current Participants with a Preliminary Entitlement Amount of $0 shall not receive a distribution from the Net Settlement Amount.

• If any JV Subsidiary Guarantor guarantees any Indebtedness of the Company or any other Restricted Subsidiary where the aggregate claims of the creditor under such guarantee exceed the JV Entitlement Amount, such JV Subsidiary Guarantee shall be replaced with a Subsidiary Guarantee given by a Subsidiary Guarantor.

• The resulting calculation shall be the Final Entitlement Amount for each Class Member.

• As promptly as reasonably possible after deposit of the Net Settlement Amount into the Plan (per Section 5.2.5 of the Settlement Agreement), the Settlement Administrator shall forward to the Recordkeeper the information/data needed for allocating into each Settlement Class Member’s account under the Plan his or her Class Member’s Final Entitlement Amount.

• The sum of the Final Entitlement Amount for each Class Member will equal the dollar amount of the Net Settlement Amount.

• The sum of the Final Entitlement Amount for each remaining Class Member will equal the dollar amount of the Net Settlement Amount.
