Engine Maintenance definition

Engine Maintenance means a HSC, HSM or EHM.
Engine Maintenance means engine Maintenance, and other services relating to Engines which must be and are performed for the Engines while they have been removed from the In -Scope Aircraft, and provision of substitute or replacement Engines; provided however, Engine Maintenance shall not include labor or Materials which fall under the definition of Engine Maintenance to the extent that Delta has specifically agreed to perform all or part of the same pursuant to the provisions of this Agreement.
Engine Maintenance. Program shall mean a maintenance contract from a provider acceptable to Lender in its reasonable discretion, which (i) provides for the maintenance of the Engines; (ii) is not on a pro-rata basis, (iii) provides for full life limited parts and components coverage, (iv) allows for follow on contract coverage in favor of Lender, (iv) acknowledges the rights and interests of Lender (or its designee) under such maintenance contract and (v) otherwise is in form and substance reasonably satisfactory to Lender. Escrow Holder shall have the meaning set forth in Section 2 of the Closing Terms Addendum. Event of Default shall have the meaning set forth in Section 6 hereof. Event of Loss with respect to the Aircraft, the Airframe, an Engine, or the APU shall mean any of the following events: (i) loss of such property or the use thereof due to theft, disappearance, destruction, damage beyond repair or rendition of such property permanently unfit for normal use for any reason whatsoever; (ii) any damage to such property that results in an insurance settlement with respect to such property on the basis of a total loss or constructive total loss; (iii) the condemnation, confiscation or seizure of, or requisition of title to or use of, such property by the act of any foreign or domestic Governmental Authority (“Requisition of Use”); (iv) as a result of any rule, regulation, order or other action by any foreign or domestic Governmental Authority (including, without limitation, the FAA or any similar foreign Governmental Authority) having jurisdiction, (A) the use of such property shall have been prohibited, or such property shall have been declared unfit for use, for a period of thirty (30) days, (B) Customer shall be required to divest itself of its rights, title or interest in such property, or (C) the then actual hour or cycle limits with respect to such property shall equal or exceed any mandatory hour and cycle limits with respect to such property, beyond which it cannot be operated; (v) with respect to an Engine or the APU, the removal thereof from the Airframe for a period of six (6) consecutive months or longer, whether or not such Engine or APU is operational; or (vi) an Engine or APU is returned to the manufacturer thereof, other than for modification in the event of patent infringement or for repair or replacement (any such return being herein referred to as a “Return to Manufacturer”).
