The Company shall provide the Engine Group with a reasonable opportunity to review and comment on such Form 8-K prior to the filing with the SEC and consider in good faith any comments of the Engine Group.
Promptly following the execution of this Agreement, the Company shall reimburse the Engine Group for not more than US$375,000 of its reasonably incurred and documented out-of-pocket fees and expenses (including reasonable legal fees) incurred in connection with its investment in the Company, the negotiation and execution of this Agreement and any SEC filings arising from this Agreement.
