Tridium is not deploying or hosting the Licensed Software instance in the End User Environment.

The following defined terms apply to this Omilia Service Annex: End User Environment means the computing environment (excluding any software and/or hardware expressly provided by the Supplier) separately procured, prepared and maintained by the Customer for the use and operation of the Omilia Service, where such computing environment meets ▇▇▇▇▇▇’s then-current minimum Product requirements, which shall be communicated by the Supplier to the Customer as soon as possible.
Prior to the installation or use of a Verint Offering, Reseller shall ensure the establishment of and cause the End User to establish an End User Environment at each Site for the access to and/or use and operation of the Verint Offering.
Reseller shall provide and/or acquire for Verint from End User all necessary information, access, workspace, computing resources, and other services and support materials as reasonably required by Verint to perform its duties in a timely manner, including, without limitation, establishing the End User Environment as specified in Section 2.3. All Professional Services provided on a time and material basis are per person unless otherwise specified, and charged hourly or daily as indicated for each person.
Verint warrants to Reseller that (i) for a period of ninety (90) days after its initial delivery, the Software shall operate in an End User Environment substantially in accordance with the Documentation, and (ii) for a period of thirty (30) days after performance, the Professional Services provided by Verint hereunder were performed in a timely and professional manner by qualified Personnel.
Upon Tridium’s request, prior to deployment of the Licensed Software instance and continuing thereafter, at least on an annual basis for the term of the Agreement, you will certify in writing that Tridium’s requirements have been met in each End User Environment or instance of the Licensed Software, as the case may be, including secure internet connection and compliance with Tridium’s implementation documents and requirements.
The End User Environment is not part of the Licensed Software and it is not part of the scope of this Agreement.
Subject to the terms and conditions of the Agreement in place with Tridium, and provided that the specific Licensed Software for which you have contracted is delivered in a containerized or other portability mechanism, you may be permitted to deploy the Licensed Software in the End User Environment.
Reseller acknowledges that, except as otherwise expressly specified on an Order, Verint is not responsible for obtaining, licensing or selling any hardware, peripherals or third-party software or interfaces needed to prepare or maintain the End User Environment.
