EMS Software definition

EMS Software means the Election Management System (EMS) software provided by Contractor under the Statement of Work, and any Maintenance Releases or New Versions provided to the State and any Configurations or Modifications made by or for the State pursuant to this Contract, and all copies of the foregoing permitted under this Contract and the License Agreement.
EMS Software means Ciena's WaveWatcher(TM) element management system Software.
EMS Software means the CIENA WaveWatcher(TM) element management system software, which does not include third party hardware or software on which the EMS Software operates.

  • The License Fee is due upon receipt of Deliverables and the EMS Software.

  • Contractor shall provide support and maintenance for the EMS Software and all Deliverables in accordance with the applicable service level agreement set forth in the Statement of Work, Section 1.6, and the licensing restrictions set forth in the License Agreement and the terms and conditions of this Contract.

  • The State or Authorized User will order the EMS Software, Services or Deliverables pursuant to a signed Purchase Order issued by the State or an Authorized User.

  • Respond to problems with the EMS Software identified by the State or an Authorized User in no more than two (2) hours after notification.

  • Contractor shall provide the Deliverables, EMS Software and Services, pursuant to the executed License Agreement (defined below) and to the executed Statement of Work, which is attached as Schedule A to this Contract.

  • Contractor will accept return of the EMS Software and refund to the State a pro rata portion of the license fee paid to Contractor for the EMS Software, such refund based on a straight line amortization over a ten (10) year term beginning on the date of purchase.

  • Resolve all problems according to the following: • Priority 1 (EMS Software inoperable) within one week.

  • The Contract shall cover an initial service and maintenance period on all Deliverables, System Software, and EMS Software (as those terms are defined under the Contract Terms) that shall be in effect throughout the acquisition year + 4 years (the “Initial Service Period”), and shall be provided be at no additional cost.

EMS Software means Starent’s software used to manage Starent’s ST-16 intelligent mobile gateway, referenced as Starent’s “EMS Software” in its documentation.

Related to EMS Software

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Business Software means all Software owned by or developed by a Seller for or in connection with the Business.

  • Customer Software means software which is owned by or licensed to the Customer, including software which is or will be used by the Supplier for the purposes of providing the Goods and/or Services but excluding the Supplier Software;
