EMS License definition

EMS License means the software license to be granted by the Purchaser in favour of the Vendor in respect of those software developed in accordance with the EMS Software Agreement to be negotiated by the Vendor and the Purchaser in good faith and the terms of which are to be mutually agreed upon by the parties subject at all times that the final version as executed or to be executed shall be in such form and substance satisfactory to the Purchaser;

  • None of Intergraph, any other Selling Entity or any of their Affiliates shall access, operate, distribute, copy, use, or modify any of the Owned Software, other than the Owned Software subject to the Transferred Intellectual Property License Agreements and except as permitted under the terms of the EMS License Agreement or the SolidEdge License Agreement.

  • The Software subject to each of the EMS License Agreement and the SolidEdge License Agreement are commercial computer Software which is used regularly for other than government purposes and is sold, licensed or leased in significant quantities to the general public at established market or catalog prices.

  • Employees must also hold and maintain at least a Paramedic EMS License.
