The Parties hereto acknowledge that MSD and Drug Innovation Ventures At EMORY, a fully-owned subsidiary of EMORY University (“DRIVE”), an upstream licensor of MSD are intended to be and constitute a third party beneficiary of the representation, warranties, covenants, and agreements of Licensee, and MSD and DRIVE are entitled to enforce the terms and provisions of this Agreement on its own behalf to the same extent as MPP.
