Within sixty (60) days after the month in which CARB releases its annual Facility Emissions Reports for the prior calendar year, Buyer will perform an Annual Emissions Payment True-up of the prior year’s Carbon Dioxide Emissions Payments based on an Updated Carbon Dioxide Emission Rate equal to the lesser of (i) 0.05302 metric ton / MMBtu, or (ii) the Actual Annual Emissions Rate calculated based on the Facility Emissions Report for the prior calendar year.
An Individual Participating Airline may elect to use up to four (4) tons of emission credits from any mobile source emissions reduction credit program in accordance with regulations of the South Coast Air Quality Management District to comply with the 1997 Existing GSE Emissions Rate Goal in order to avoid but not reduce the amount of liquidated damages otherwise payable under this MOU.
If the Participating Airlines collectively do not meet the Existing Fleet Emissions Rate Goal, each Individual Participating Airline that has not met that goal is liable for liquidated damages for its share of the exceedance based on excess emissions of HC plus NOx as provided in Equation 2 of Appendix 1 attached hereto.
At their election, two or more Participating Airlines may voluntarily agree at any time to average or trade the emissions from their respective GSE fleets, or portions thereof, for the purposes of individual compliance with the 1997 Existing Fleet Emissions Rate Goal, or determining the appropriate amount of liquidated damages for not meeting that goal.
Aggregate compliance of the Participating Airlines with the Existing Fleet Emissions Rate Goal shall be determined in accordance with Equation 1 of Appendix 1 attached hereto.
If a Nonparticipating GSE Operator that did not operate GSE On-Site in 1997, averages an emissions rate in excess of the applicable Operator-Specific Maximum Emissions Rate, liquidated damages shall be assessed, in amounts as set forth for “Participating Airlines” in Section IV.D.2.c of the SCGSE MOU.
