  • The Holder further acknowledges that he or she is bound by the Stock Purchase Agreement and the Note Agreement, and that the Principal due hereunder may be reduced by any amounts due from the Holder to EMCON pursuant to Section 12.2 of the Stock Purchase Agreement.
