Subscriber shall deliver a signed copy of this Subscription Agreement, along with payment for the aggregate purchase price of the Securities by any means approved by the Company, including but not limited to a check for available funds made payable to Elegance Spirits, Inc., by ACH electronic transfer or by wire transfer to an account designated by the Company, or by any other methods, such as credit cards, Paypal or other electronic transfer or methods approved by the Company.
Except for the Rescission offer and as disclosed in the Rescission Offer Registration Statement, there are no actions, suits, claims, investigations or other legal proceedings pending or, to the knowledge of Elegance, threatened against or by Elegance that challenge or seek to prevent, enjoin or otherwise delay the execution and delivery of this Agreement.
The relationship between ABS, BevMart and Elegance is solely that of vendor and vendee and they are independent contracting parties.
Any term of this Agreement may be amended, and the observance of any term of this Agreement may be waived (either generally or in a particular instance and either retroactively or prospectively), only with the written consent of Elegance, the Company and the Seller.
The Parties hereto acknowledge that the Prior Share Purchase Agreements contemplated that in the event that for any reason the acquisition of ABS contemplated by the Prior Share Purchase Agreements was not consummated, the Seller would be obligated to refund to Elegance the full amount of the Deposit.
