Electronic Road Show definition

Electronic Road Show means a “bona fide electronic road show” as defined in Rule 433(h)(5) under the Act.
Electronic Road Show means a “road show” as defined in Rule 433(h) under the Securities Act. As used herein, the terms “Registration Statement,” “Basic Prospectus,” “Preliminary Prospectus,” “Time of Sale Prospectus” and “Prospectus” shall include the documents, if any, incorporated by reference therein on the date hereof. The terms “supplement,” “amendment,” and “amend” as used herein with respect to the Registration Statement, the Basic Prospectus, the Time of Sale Prospectus, the Preliminary Prospectus or the Prospectus shall include all documents subsequently filed by the Company with the Commission pursuant to the Securities Exchange Act of 1934, as amended (the “Exchange Act”), that are deemed to be incorporated by reference therein.
Electronic Road Show means a “bona fide electronic road show” as defined in Rule 433(h)(5) under the Securities Act that has been made available without restriction to any person. At the Company’s request, the Underwriters have agreed to reserve a portion of the Shares to be purchased by them under this Agreement for sale by ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ & Co. LLC (“▇▇▇▇▇▇ ▇▇▇▇▇▇▇”) to the Company’s directors, officers, employees and other individuals associated with the Company and members of their respective families (collectively, “Participants”), as set forth in the Prospectus under the heading “Underwriters—Directed Share Program” (the “Directed Share Program”). The Shares to be sold by ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ and its affiliates pursuant to the Directed Share Program are referred to hereinafter as the “Directed Shares.” Any Directed Shares not orally confirmed for purchase by any Participant by 11:59 p.m. (New York City time) on the date on which this Agreement is executed will be offered to the general public by the Underwriters as set forth in the Prospectus.
