Electronic Road Show definition

Electronic Road Show means a “bona fide electronic road show” as defined in Rule 433(h)(5) under the Act.
Electronic Road Show means a “road show” as defined in Rule 433(h) under the Securities Act. As used herein, the terms “Registration Statement,” “Basic Prospectus,” “Preliminary Prospectus,” “Time of Sale Prospectus” and “Prospectus” shall include the documents, if any, incorporated by reference therein on the date hereof. The terms “supplement,” “amendment,” and “amend” as used herein with respect to the Registration Statement, the Basic Prospectus, the Time of Sale Prospectus, the Preliminary Prospectus or the Prospectus shall include all documents subsequently filed by the Company with the Commission pursuant to the Securities Exchange Act of 1934, as amended (the “Exchange Act”), that are deemed to be incorporated by reference therein.
Electronic Road Show means a “bona fide electronic road show” as defined in Rule 433(h)(5) under the Securities Act that has been made available without restriction to any person. At the Company’s request, the Underwriters have agreed to reserve a portion of the Shares to be purchased by them under this Agreement for sale by Xxxxxx Xxxxxxx & Co. LLC (“Xxxxxx Xxxxxxx”) to the Company’s directors, officers, employees and other individuals associated with the Company and members of their respective families (collectively, “Participants”), as set forth in the Prospectus under the heading “Underwriters—Directed Share Program” (the “Directed Share Program”). The Shares to be sold by Xxxxxx Xxxxxxx and its affiliates pursuant to the Directed Share Program are referred to hereinafter as the “Directed Shares.” Any Directed Shares not orally confirmed for purchase by any Participant by 11:59 p.m. (New York City time) on the date on which this Agreement is executed will be offered to the general public by the Underwriters as set forth in the Prospectus.

  • electronic communications network means transmission systems and, where applicable, switching or routing equipment and other resources, including network elements which are not active, which permit the conveyance of signals by wire, radio, optical or other electromagnetic means, including satellite networks, fixed (circuit and packet-switched, including Internet) and mobile terrestrial networks, electricity cable systems, to the extent that they are used for the purpose of transmitting signals, networks used for radio and television broadcasting, and cable television networks, irrespective of the type of information conveyed;

  • Public Electronic Communications Network means an Electronic Communications Network provided wholly or mainly for the purpose of making Electronic Communications Services available to members of the public;
