This Contract specifies the contractual terms and conditions by which the County will procure Written Translation of Election Materials from Contractor as further detailed in the Scope of Work, identified and incorporated herein by this reference as “Attachment A”.
In no event shall the initial mailing of Election Materials to the Common Unitholders be made less than five (5) days prior to the Election Deadline.
For the avoidance of doubt, the Company shall have the option to mail the Election Materials in the same mailing as the Proxy Statement/Offering Memorandum.
The Company shall use commercially reasonable efforts to promptly make available the Election Materials to any holder of Common Units who requests such materials following the initial mailing of the Election Materials and prior to the Election Deadline.
An Election Form shall be deemed properly completed only if accompanied by one or more Company Share Certificates (or customary affidavits and indemnification regarding the loss or destruction of such Company Share Certificates or the guaranteed delivery of such Company Share Certificates) representing all shares of Company Common Stock covered by such Election Form, together with duly executed transmittal materials included in the Election Materials.
Neither Parent nor the Exchange Agent will be under any obligation to notify any person of any defect in Election Materials submitted to the Exchange Agent.
Parent will have the discretion, which it may delegate in whole or in part to the Exchange Agent, to determine whether Election Materials have been properly completed, signed and submitted and to disregard immaterial defects in Election Materials.
